The "Limited" type of company is needed when seeking investment from the public. It has often been said that, "One of the least valuable things to own in Australia is a minority interest in a private Pty Ltd company". A Limited company is a more appropriate structure for the capitalisation of a growth enterprise. A Limited company requires 3 or more directors, and 1or more shareholders and its accounts will need to be audited. More disclosure is required compared to a private Pty Ltd company.

The Stock Exchange of Newcastle Limited is Australia's second official stock exchange approved under
the Corporations Act in Australia. The NSX has developed a unique set of Listing Rules to assist small, medium and regionally based business to list their securities on an approved Stock Exchange. This gives the shareholders of SME's share price quotation and allows unrestricted seller offers and buyer bids to occur on the issued capital of the SME. Listing rules include the requirement that an SME has at least 50 shareholders and a minimum capitalisation of $500,000. The Australian Small Scale Offerings Board (ASSOB) is a stepping stone to assist SME's achieve the qualifying minimum 50-shareholder requirement of the NSX.
